Precinct Signatures: Terms of Service

1. Who we are

Precinct Signatures (the "Service") is provided by PC Repair Leeds Ltd t/a QLine IT, a company registered in England and Wales (company number 07500720), of Unit 6 Killingbeck Court, Leeds, LS14 6FD ("QLine IT", "we", "us"). "You" means the organisation that subscribes to the Service and the people it authorises to use it.

2. The Service

The Service adds email signatures, banners and disclaimers to email sent from your Microsoft 365 organisation, lets authorised people edit them in the Precinct Signatures Studio, and optionally counts clicks on campaign links. We may improve or change the Service, provided we do not materially reduce its core functionality during a paid term without notice.

3. Accounts and access

You decide who may edit your signatures and tell us; we set them up. You are responsible for keeping that list current, for activity carried out by your authorised users, and for telling us promptly if you suspect unauthorised access. Changes made by your users may require our approval before they take effect.

4. Your content and responsibilities

You are responsible for the content of your signatures, banners, images and links, and for having the right to use them. You must not use the Service to send unlawful, misleading, defamatory or infringing material, or links to malicious sites. We may refuse to publish, or remove, content that breaches these terms.

5. Fees

Fees are as set out in your order or quotation from QLine IT. Unless agreed otherwise, fees are invoiced in advance, payable within 30 days and exclusive of VAT.

6. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. The Service is designed to "fail open": if a signature cannot be added, your email is still delivered without it. Support is available via the contact details on the Help & contact page.

7. Data protection

We process personal data on your behalf as a processor, under the data processing terms that form part of this agreement and as described in our Privacy notice. Email content passes through the Service to have a signature added and is not stored.

8. Intellectual property

We own the Service and its software. You own your content and grant us a licence to use it only to provide the Service.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss, or loss of profits, revenue or goodwill, and our total liability in any 12-month period is limited to the fees you paid for the Service in that period.

10. Term and ending

These terms continue for the term in your order and renew unless either party gives 30 days' written notice. Either party may end them immediately if the other materially breaches them and does not put it right within 30 days. When the Service ends we will, on request, return your signature templates and images, and remove the Service from your mail flow.

11. General

These terms, your order and the data processing terms are the whole agreement. They are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
